1. Acceptance of Terms
By downloading, installing, or using Anasa (the "App" or "Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use Anasa. Anasa is provided by Entro314 Labs ("Anasa," "we," "us," or "our").
2. License Grant
2.1 Free License (Local-First Use)
We grant you a personal, non-exclusive, non-transferable, royalty-free license to download and install Anasa on your devices and use its core features — Markdown editing, file management, local search, and offline use — at no cost. No account is required, and no data is transmitted to Anasa's servers.
2.2 Paid License (Optional)
To unlock Anasa AI managed credits you may purchase a one-time license. You create an account at anasa.md (via Clerk) and pay through Polar.sh (our Merchant of Record). You receive a license key tied to your account, subject to per-device activation limits shown on the pricing page and your dashboard. Licenses are personal and non-transferable; you may not share, resell, or distribute license keys.
2.3 Anasa Cloud (Optional Subscription)
Anasa Cloud is a separate recurring subscription that attaches to an existing license and adds hosted services — capture sync, end-to-end encrypted vault sync, and a monthly AI credit allowance. It is billed monthly or yearly through Polar.sh until you cancel, and you may cancel at any time from your dashboard; access continues to the end of the paid period. Anasa Cloud is optional: the App and your purchased credits work without it.
3. AI Credits and Anasa AI
- AI credits are a prepaid balance used to invoke optional managed-AI features.
- Credits you buy do not expire. This covers the credits included with your license and any credits purchased outright.
- Anasa Cloud plan credits are a monthly allowance, granted in 30-day periods. Unused plan credits roll over up to three times your monthly allowance and stop accruing beyond that; plan credits are spent before purchased credits, and the allowance stops when the subscription ends. Credits you bought are unaffected.
- You pay only for successful calls — failed requests (e.g., network errors) do not consume credits.
- Anasa AI uses third-party providers (e.g., Azure OpenAI) to process the note content you submit. You remain responsible for complying with those providers' terms, and Anasa is not liable for their output, accuracy, or availability.
- Bring-your-own-key (BYOK): if you supply your own provider key, content goes directly to that provider, Anasa charges no credits, and you are responsible for that provider's billing and terms.
4. Device Seat Limits
License keys may be activated on a limited number of devices per tier. Anasa uses device identifiers to enforce seat limits and prevent abuse. You may deactivate a device from your account to free a seat. We may suspend a license if we detect abuse (e.g., rapid activation across many devices).
5. Acceptable Use
You agree not to: reverse-engineer or attempt to extract the App's source; circumvent license keys or seat limits; use the App unlawfully; transmit malware; interfere with the Service; perform high-volume automated access without permission; attempt unauthorized access to accounts or data; or resell, rent, or redistribute the App or license keys. Violations may result in suspension or termination.
6. Intellectual Property
- Anasa software: We own all rights to the App, including code, design, trademarks, and documentation. You receive a license to use it, not ownership of the software.
- Your content: You retain all ownership of the notes and content you create. We never publish, share, or train on your content; we process it only as needed to provide the Service (e.g., local storage, or AI processing when you request it).
- Feedback: Suggestions or bug reports you send us may be used freely without compensation or attribution.
7. Disclaimer of Warranties
The App is provided "as is" and "as available" without warranties of any kind. It may contain errors; it is not guaranteed to work on all systems; data loss may occur (keep backups); AI features are experimental and may produce inaccurate or unexpected output; and third-party services may be unavailable. You use the App at your own risk.
8. Limitation of Liability
To the maximum extent permitted by law, Anasa is not liable for data loss, lost profits, or indirect, incidental, special, consequential, or punitive damages, nor for damages arising from AI output or third-party service failures. Our total liability will not exceed the amount you paid to Anasa in the 12 months before the claim.
9. Indemnification
You agree to indemnify and hold harmless Anasa from claims, damages, or costs (including legal fees) arising from your use of the App in violation of these Terms or applicable law, your content, or your breach of any third-party terms.
10. Payments and Billing
All payments are processed by Polar.sh, our Merchant of Record, which handles invoicing, taxes, and payment-data security. Anasa does not store your payment card information. You are responsible for applicable taxes, which Polar calculates based on your location.
Refunds
- Licenses are refundable within 14 days of purchase if the included AI credits are unused, and after 14 days only where we failed to deliver the Service due to our error.
- Anasa Cloud subscriptions can be cancelled at any time to stop future charges; the current period is not refunded pro rata unless required by law.
- Contact hey@anasa.md with proof of purchase to request a refund.
11. Termination
You may cancel your account and delete your data at any time from your account settings; your license key is then deactivated. We may suspend or terminate your account or license for violations of these Terms, abuse, or non-payment, and will try to notify you beforehand except in cases of abuse or legal obligation. Local Markdown files on your device always remain yours.
12. Privacy
Your use of Anasa is governed by our [Privacy Policy](/privacy). Please review it to understand our data practices.
13. Governing Law and Jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of the Hellenic Republic (Greece), without regard to its conflicts-of-law rules.
The courts of Athens, Greece have exclusive jurisdiction to settle any such dispute or claim. If you are a consumer resident in the European Union, this does not deprive you of the protection of the mandatory consumer-protection rules of your country of residence, nor of your right to bring proceedings in the courts of that country.
Nothing in this section limits your right to use the European Commission's Online Dispute Resolution platform.
14. Changes to These Terms
We may update these Terms from time to time and will notify you of material changes by email or a notice on anasa.md. Continued use of the App constitutes acceptance. If you do not agree, stop using the App.
